Terms of Use

hadousupply.com · Last updated: September 2, 2026

Please read carefully. Section 12 contains a binding arbitration agreement and a class action waiver that affect how disputes between you and us are resolved. You may opt out of arbitration within 30 days as described in Section 12.6.

These Terms of Use ("Terms") govern your access to and use of hadousupply.com and any related pages, content, and services (the "Site"), operated by Hadou Supply ("we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Purchases made through the Site are also governed by our Terms of Sale, Shipping Policy, Returns and Refund Policy, Authenticity and Product Condition Policy, and Privacy Policy, each of which is incorporated into these Terms by reference.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site or place an order. By using the Site, you represent that you meet these requirements and that all information you provide is accurate and current. The Site is intended for use by customers located in the United States.

2. Accounts

You may check out as a guest or create an account. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@hadousupply.com if you suspect unauthorized use. We may suspend or terminate any account at our discretion, including for suspected fraud, abuse, chargeback activity, or violation of these Terms.

3. License to Use the Site

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own personal, non-commercial shopping purposes. All other use is prohibited without our prior written consent.

4. Prohibited Conduct

You agree not to do any of the following:

  • Use bots, scrapers, crawlers, spiders, or any automated means to access, monitor, index, or copy the Site or its content, except for search engine crawlers operating under our robots.txt.
  • Copy, harvest, or republish our product images, descriptions, pricing data, or other content for commercial purposes.
  • Attempt to gain unauthorized access to the Site, other users’ accounts, or any server, system, or network connected to the Site.
  • Introduce viruses, malware, or any code intended to disrupt, damage, or interfere with the Site.
  • Interfere with or overload the Site, including through denial-of-service attempts or excessive automated requests.
  • Place orders using false, stolen, or unauthorized payment methods, or using false identity or address information.
  • Circumvent purchase limits, promotional restrictions, or fraud controls.
  • Reverse engineer, decompile, or attempt to derive the source code of any part of the Site.
  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
  • Misrepresent your affiliation with us or any brand whose products we resell.

5. Intellectual Property

5.1 Our Content

The Site and its content — including the Hadou Supply name and logo, page layouts, original photography, written product descriptions, graphics, and code — are owned by us or our licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers any ownership right to you.

5.2 Third-Party Trademarks

Product names, brand names, logos, and trademarks appearing on the Site — including but not limited to Nike, adidas, and Crocs — are the property of their respective owners. We use those marks solely to accurately identify the genuine branded products we offer for resale, as permitted under United States trademark law.

No affiliation. Hadou Supply is an independent reseller. We are not an authorized dealer, agent, licensee, or distributor of any brand sold on this Site, and we are not affiliated with, sponsored by, endorsed by, or connected to any of those brands or their owners in any way. See our Authenticity and Product Condition Policy for full details.

5.3 Copyright and Trademark Complaints

If you believe content on this Site infringes your copyright or trademark, send a written notice to support@hadousupply.com that identifies the work or mark claimed to be infringed, identifies the material on the Site you claim is infringing with enough detail for us to locate it, provides your contact information, includes a statement that you have a good faith belief the use is not authorized, and includes a statement made under penalty of perjury that the information in your notice is accurate and that you are the rights holder or authorized to act on the rights holder’s behalf. We respond to valid notices and, where appropriate, remove the material.

6. User Content and Reviews

If you submit reviews, photos, comments, or other material to the Site ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, and display that User Content in connection with our business, including in marketing, without compensation or attribution to you.

You represent that you own or have the necessary rights to the User Content you submit and that it does not infringe anyone’s rights or violate any law. We may edit, refuse to post, or remove any User Content at our sole discretion. We do not endorse and are not responsible for User Content posted by others.

7. Product Descriptions, Pricing, and Availability

We work to describe products, conditions, and pricing accurately. We do not warrant that product descriptions, pricing, images, availability, or other content on the Site are complete, current, or error-free. Colors and finishes may appear differently on different screens. We reserve the right to correct errors, change prices, and limit or discontinue any product at any time without notice. Pricing errors and stock availability are addressed in the Terms of Sale.

8. Third-Party Links and Services

The Site may contain links to or integrations with third-party websites and services, including payment processing, carrier tracking, and social media. We do not control those services and are not responsible for their content, availability, terms, or privacy practices. Your use of them is at your own risk and subject to their terms.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Warranty terms for the products themselves are set out in the Terms of Sale and the Authenticity and Product Condition Policy.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH IT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot lawfully be limited.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hadou Supply and its officers, directors, employees, contractors, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your User Content, your violation of these Terms, or your violation of any law or third-party right.

12. Dispute Resolution — Binding Arbitration and Class Action Waiver

12.1 Informal Resolution First

Before starting arbitration or any legal proceeding, you agree to first contact us at support@hadousupply.com with a written description of the dispute and the relief you seek, and to give us 60 days to resolve it informally. Most issues are resolved at this stage. This step is a condition precedent to arbitration.

12.2 Agreement to Arbitrate

If the dispute is not resolved informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any product purchased, or our relationship — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — will be resolved exclusively by final and binding individual arbitration, and not in court, except as stated in Sections 12.4 and 12.5.

12.3 Arbitration Procedure

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The rules and filing instructions are available at adr.org. The arbitration will be conducted by a single arbitrator. Unless you and we agree otherwise, any in-person hearing will take place in the county of your residence, and hearings may be conducted by telephone or video where the rules permit. The arbitrator may award any relief available in court to the individual party, and the arbitrator’s award may be entered as a judgment in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act.

12.4 Small Claims Exception

Either party may bring an individual claim in small claims court in a court of competent jurisdiction, so long as the claim remains in that court and is brought on an individual basis.

12.5 Injunctive Relief Exception

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or to stop unauthorized access to or misuse of the Site.

12.6 Your Right to Opt Out

You may opt out of this arbitration agreement. Email support@hadousupply.com within 30 days of your first purchase or first use of the Site, whichever is earlier, with the subject line "Arbitration Opt-Out" and include your full name and the email address associated with your order. Opting out will not affect any other part of these Terms, your ability to purchase, or the price you pay.

12.7 Class Action and Jury Trial Waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS PROCEEDING. YOU AND WE ALSO WAIVE ANY RIGHT TO A TRIAL BY JURY.

If this class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court, and all remaining claims will proceed in arbitration.

12.8 Time Limit

To the extent permitted by law, any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after the claim arose, or it is permanently barred.

13. Governing Law and Venue

These Terms and any dispute arising from them are governed by the laws of the State of New York, without regard to its conflict of laws rules. For any matter not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Queens County, New York.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections 5, 6, 9, 10, 11, 12, 13, and 15 survive termination.

15. General

  • Entire agreement. These Terms, together with the policies incorporated by reference, are the entire agreement between you and us regarding the Site and supersede all prior understandings.
  • Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in full effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including carrier disruptions, natural disasters, labor actions, supply chain interruptions, and government action.
  • Changes. We may update these Terms at any time by posting a revised version with a new "Last updated" date. Continued use of the Site after changes are posted constitutes acceptance.
